As a Law Clerk, you will participate in all legal phases of corporate governance and licensing, and the preparation and management of legal information relating to the Company’s Requests for Qualifications and Proposals. Your expertise will be vital in providing support to General Counsel and the legal department as needed.

What you will be doing

  • Support RFP/bid and contract process by reviewing documents, preparing forms of submission of proposals, preparing revisions, ensuring the completion of questionnaires and pre-qualification bid applications, and processing amendments, close-outs and other documents
  • Prepare legal documents such as resolutions
  • Maintain corporate books and records; federal/provincial/local corporate filings
  • Prepare corporate information for RFPs/bids by obtaining corporate historical information concerning compliance, litigation, investigations, etc.
  • Acquire, maintain and renew authorizations to transact business in various provinces
  • Responsible for General Contractor’s licenses and other mandatory licensing pre-requisites for submission of bid proposals
  • Anticipate and initiate routine legal tasks, both independently and as requested by the General Counsel and inform of significant issues in a timely manner
  • Communicate with outside counsel independently and under supervision of Legal Department
  • Assist the legal department with claims tracking and reporting
  • Perform clerical duties such as maintaining Legal Department’s files, filing system (digital), composing and typing routine correspondence, and reading and routing incoming mail

What we are looking for

  • Bachelor’s degree in a related field
  • 5+ years large law firm or similar in-house law clerk experience with demonstrated in-field experience
  • Experience with drafting resolutions, compiling RFP packages for tender, certificates, handling minute books and annual filing, and other corporate governance documents
  • Experience with corporate licensing including federal and provincial registrations as well as contracting, security, and engineering licensing
  • Proficient with MS Office (Word, Excel, PowerPoint, Outlook)
  • Strong communication, analytical and problem-solving skills
  • Ability to balance multiple priorities and meet deadlines
  • Ability to follow through on commitments, projects and work independently and initiate projects
